Position Summary: The Associate Corporate Counsel will be responsible for: (i) providing legal support (including counseling, research and compliance review) for digital and other marketing executions, including websites, social media, contests and sweepstakes, mobile executions and other promotions; (ii) drafting, reviewing and negotiating marketing-related contracts, terms and policies; and (ii) counseling on compliance with global privacy and data security laws. The position will also be responsible for assisting in other matters as needed. The position reports to the Vice President, Associate General Counsel.
Key Responsibilities:
DIGITAL MARKETING AND PROMOTIONS
Provide legal counsel to business partners on legal issues involved in advertising and marketing through websites, blogs, social media, mobile and other digital and non-traditional platforms.
Advise business partners on marketing campaigns involving multimedia content (including music and videos) and user-generated content.
Review marketing communications to ensure compliance with advertising, intellectual property, regulatory and other laws, regulations and requirements.
Draft and review rules for, and assist with administration of, various contests and sweepstakes on traditional and digital platforms.
Advise on and review mobile and email communications and promotions to ensure compliance with applicable laws.
Develop policies, procedures and guidelines related to the foregoing areas.
MARKETING-RELATED CONTRACTS
Draft, negotiate and/or review a wide variety of marketing-related contracts, including sponsorship, joint-marketing, services, agency, spokesperson, media and entertainment, cause marketing, technology and intellectual property agreements.
Develop templates and guidance documents for commonly-used marketing-related contracts.
Assist with administration of contracting process to ensure deadlines are met and proper approvals and documentation are obtained.
Coordinate privacy, IP and advertising-related commercial terms and proper consent flows with vendors, partnerships, and other contractual arrangements.
Develop policies, procedures and guidelines related to marketing-related contracts.
PRIVACY AND DATA SECURITY
Provide legal guidance to key stakeholders and legal colleagues in the area of global privacy and data protection.
Work collaboratively with Legal, Information Services, Marketing and other functions to assess, develop, enhance, monitor and ensure compliance with privacy controls and data security measures globally.
Help enhance and administer corporate policies and procedures regarding collection, transfer, storage, use, sharing and disposal of personal information.
Review promotional and marketing activities and data infrastructure and controls to ensure compliance with federal, state and international laws regarding privacy and data security.
Perform periodic privacy risk assessments and conduct related ongoing compliance monitoring activities in coordination with the other compliance and operational assessment functions.
Advise on vendor, partnership, and other commercial arrangements by coordinating privacy-related commercial terms and proper consent flows where required.
Monitor and provide legal advice regarding new laws, regulations and industry best practices impacting privacy and network/data security issues, including the regulation of cookies and online behavioral advertising.
Develop and provide training to employees regarding privacy and data security issues.

Bachelor's degree or equivalent experience; JD degree; top tier undergraduate and law schools
Member of the California State Bar, or having the qualifications and willingness to sit for the California bar exam or qualifications for registration under the California State Bar in-house counsel program
2-5 years as a practicing attorney and knowledge of specialized legal areas; in-house experience a plus.
Widely respected for his/her reputation as a fair and honest individual with great integrity who has demonstrated transparency in his/her work.
Other Qualifications:
Experience involving digital, social media and mobile platforms, contract drafting and negotiation, privacy and data security, and Internet law required.
Experience with advertising and marketing law, intellectual property, particularly copyrights and trademarks, product claims substantiation, e-commerce, contests and sweepstakes, and/or media and entertainment transactions preferred.
Familiarity with cutting-edge technology, social media, website and data systems infrastructure, licensing, and/or media and entertainment issues.
Ability to work independently on legal matters for assigned substantive areas with the oversight of more senior attorneys.
Strong written and verbal communications skills to articulate complex business and legal situations clearly and accurately.
Strong negotiation, consultative and facilitation skills with the ability to effectively interact with all internal and external stakeholders.
